Terms and Conditions
for the Pronto Referral Partner Program

By enrolling and participating in the Pronto Marketing Referral Partner Program, you agree to be bound by the following terms and conditions. Pronto Marketing reserves the right to change the Terms and Conditions at any time without notice, and your continued use of Pronto Marketing’s Referral Partner Program constitutes your consent to such changes.

1. ENROLLMENT IN THE PROGRAM

1.1 Enrollment Process: Referral Parnter (“Referrer”) can enroll in the Program by submitting a formal request through Pronto’s designated enrollment portal or by contacting Pronto’s designated Program administrator.

1.2 Approval: Pronto reserves the right to review and approve or decline Referrer’s enrollment request at its sole discretion. At a minimum and not exclusively, the Referrer should meet the following requirements:

  • Be able to provide proof of their business ID registration
  • Provide a mailing address
  • Serve similar businesses to Pronto in English-speaking countries (United States, Canada, Australia, and the United Kingdom) and industries
  • Have a professional email address and website registered at a domain that they own
  • Target businesses that are compliant with United States legislation for marketing practices

2. COMMISSION AND PAYOUTS

2.1 Recurring Commission Percentage: Referrer will receive a commission equal to 10% of the monthly Technical Support, Website Support, or Dedicated Support fees paid by each new client (“Client”) referred by Referrer to Pronto.

2.2 One-time Commissions:

2.2.1: Referrer will receive a commission equal to 10% of the total Website Build fees paid by each new client (“Prospect”) referred by Referrer to Pronto.

2.2.2: Referrer will receive a pre-determined commission fee for each new client (“Prospect”) referred by Referrer to Pronto for the following marketing services: Blog Writing, Google My Business (GMB) Management, Google Ads Management, Local Services Ads, Local or National SEO, and Link Building. 

Pronto will share with the Referrer the commission structure for marketing services within a separate document. Commissions amounts are subject to change based on Pronto’s pricing or profitability.

2.3 Payout Schedule: Commissions will be calculated on a monthly basis and will be credited to Referrer within 45 days of the sign up date for each new client. Once the total payout amount reaches $1,000 or more, Pronto will payout the amount to the Referrer.

2.4 Payment Method: Commissions will be paid to Referrer using the payment method specified by Referrer during the enrollment process, including but not limited to electronic funds transfer or PayPal.

2.5 Inactivity:

If Referrer is an active paying Client of one of Pronto’s website support services and if Referrer fails to refer any new signups to Pronto for a continuous period of two (2) years, Referrer’s entitlement to receive commission payments will be forfeited.

If Referrer is not an active paying Client of one of Pronto’s website support services and if Referrer fails to refer any new signups to Pronto for a continuous period of one (1) year, Referrer’s entitlement to receive commission payments will be forfeited.
In the case of inactivity, Pronto will notify the Referrer 30 days in advance that their commission will be forfeited.

3. TERMINATION

3.1 Termination by Pronto: Pronto reserves the right to terminate Referrer’s participation in the Program at any time, for any reason, with or without cause, upon written notice to Referrer. In such a case, Pronto will provide a 30 day written notice via email to the primary contact for the Referrer. Upon termination, all active commissions, if any, will be forfeited.

3.2 Termination by Referrer: Referrer may voluntarily terminate their participation in the Program by providing written notice to Pronto. Upon termination, Referrer will no longer be eligible for commission payments.

4. CONFIDENTIALITY

4.1 Mutual Confidentiality: Both parties agree to treat any non-public information shared as part of this Program as confidential and shall not disclose such information to any third party without the written consent of the disclosing party during the term of this agreement and for three years after that.

5. GOVERNING LAW AND JURISDICTION

5.1 GOVERNING LAW: These Terms and Conditions shall be treated as though they were executed and performed in Hong Kong and shall be governed by and construed in accordance with the laws of Hong Kong (without regard to conflict of law principles). All legal proceedings arising out of or in connection with these Terms and Conditions or any other agreement related to the use of Pronto services shall be brought solely in Hong Kong.
